Welcome to Pantelope Marketing! These Terms and Conditions outline the rules and regulations for the use of our marketing services. By engaging with Pantelope and utilizing our services, you agree to comply with the following terms and conditions. Please read them carefully.

1. Definitions

• Client: Refers to the individual or business engaging Pantelope for marketing services.
• Services: Refers to all marketing, advertising, content creation, social media management, SEO, or other related services provided by Pantelope.
• Agreement: Refers to the contractual arrangement between Pantelope and the Client based on these Terms and Conditions.

2. Services Provided

Pantelope agrees to provide marketing services, including but not limited to:

• Digital marketing strategy and execution
• Social media management
• Content creation (e.g., blogs, articles, advertisements)
• Search engine optimization (SEO)
• Pay-per-click (PPC) advertising
• Branding and design
• Email marketing
• Analytics and reporting

3. Client Obligations

The Client agrees to:

• Provide all necessary materials, data, and access required for Pantelope to perform the agreed services.
• Respond to Pantelope’s requests for approvals or information in a timely manner.
• Review and approve all deliverables, campaigns, and content before launch or publication.
• Comply with all applicable laws and regulations related to their business and any marketing activities.

4. Fees and Payments

• The Client agrees to pay Pantelope the agreed-upon fees as outlined in the project proposal or agreement.
• Payment is due according to the terms specified in the invoice (e.g., within 30 days of receipt unless otherwise agreed).
• Pantelope reserves the right to pause services if payments are delayed beyond the agreed period.
• Any additional expenses (e.g., paid advertisements, third-party services) incurred on behalf of the Client will be billed separately, with prior approval from the Client.

5. Revisions and Amendments

Pantelope will make reasonable revisions to deliverables as requested by the Client. Any significant scope changes or additional revisions beyond the agreed scope of work may result in additional fees, which will be communicated and approved before work begins.

6. Term and Termination

• The Agreement is valid for the duration specified in the service proposal, unless terminated earlier by either party.
• Either party may terminate this Agreement by giving 30 days’ written notice. Upon termination, the Client will be liable for all services rendered and costs incurred up to the termination date.
• Pantelope reserves the right to terminate services immediately for any breach of contract or illegal activities by the Client.

7. Intellectual Property

• All original marketing materials, content, strategies, designs, and data created by Pantelope will remain the intellectual property of Pantelope until full payment is received.
• Upon full payment, the Client will receive ownership of the deliverables unless otherwise agreed in writing.
• Pantelope retains the right to showcase completed projects as part of their portfolio or for promotional purposes unless otherwise agreed.

8. Confidentiality

Both parties agree to maintain the confidentiality of any proprietary or sensitive information shared during the course of this Agreement. This obligation remains in effect even after the termination of the Agreement.

9. Limitation of Liability

Pantelope will not be held liable for any indirect, incidental, or consequential damages arising from the use of our services. Our total liability for any claim related to this Agreement shall not exceed the fees paid by the Client in the three months preceding the claim.

10. Warranties and Disclaimers

Pantelope makes no guarantees regarding the results of any marketing services, including but not limited to, increased sales, traffic, or online visibility. The Client acknowledges that marketing is influenced by many variables and results may vary.

11. Governing Law

These Terms and Conditions are governed by and construed in accordance with the laws of [Insert Jurisdiction]. Any disputes arising out of or relating to these terms shall be subject to the exclusive jurisdiction of the courts in [Insert Jurisdiction].

12. Amendments

Pantelope reserves the right to update or modify these Terms and Conditions at any time. Clients will be notified of any changes in writing or by email, and continued use of services following such changes will be deemed acceptance of the revised terms.

13. Force Majeure

Pantelope will not be responsible for any failure to perform due to unforeseen circumstances or causes beyond its reasonable control, including but not limited to acts of God, natural disasters, strikes, or interruptions in communications.

14. Entire Agreement

These Terms and Conditions, along with any project proposals, statements of work, and invoices, constitute the entire agreement between Pantelope and the Client. Any additional agreements must be made in writing and signed by both parties.

A2P Terms and conditions

This campaign sends SMS Notifications, Alerts & Occasional Marketing Communication to customers who have opted in to receive SMS notifications.

 

2. You can cancel the SMS service at any time. Simply text “STOP” to the shortcode. Upon sending “STOP,” we will confirm your unsubscribe status via SMS. Following this confirmation, you will no longer receive SMS messages from us. To rejoin, sign up as you did initially, and we will resume sending SMS messages to you.

 

3. If you experience issues with the messaging program, reply with the keyword HELP for more assistance, or reach out directly to hello@pantelope.com

 

4. Carriers are not liable for delayed or undelivered messages.

 

5. As always, message and data rates may apply for messages sent to you from us and to us from you.
